mind-n Terms of Service and Use

Welcome

This is a legally binding agreement between you (“You” or “User”) and Witmer Health Technologies Private Limited (“mind-n”, “We”, “Us”, or “Our”), a company registered in India at No. B4, Green Court Apts, Srinidhi Layout, Vidyaranyapura, Bengaluru, Karnataka 560038, India.

The website www.mindn.ai (and subdomains), the mind-n mobile/web application, and the mind-n Phygital Gym Services (mind-n gym facilities integrated with digital tools, wearables, AR/VR, biometric monitoring, in-person guided sessions, and hybrid physical-digital wellness experiences) are collectively referred to as the “Service”.

The Service is offered directly to individual users and, more commonly, to organizations (corporates, educational institutions, healthcare providers, etc.) for their employees, members, students, or patients (“Organizational Users”).

By accessing or using the Service (including any phygital gym facilities or related digital interfaces), you agree to these Terms of Service (“Terms”), our Privacy Policy, and any other applicable policies (collectively the “Agreement”). If you do not agree, do not use the Service.

Optimal Use Instructions

The Service is not intended for individuals under 18 years of age.

The mind-n Service combines digital (text, audio-video, gaming, VR/AR, AI coaching, productivity modules) and phygital elements (physical gym sessions, biometric tracking via wearables, guided in-person exercises, hybrid wellness experiences) to support mental wellness, emotional resilience, and productivity through evidence-based self-help tools and techniques.

All interactions involve AI/computer systems and gym equipment/interfaces — not human therapists or medical professionals. The Service is strictly for self-help and self-monitoring. It is not a substitute for professional psychotherapy, medical diagnosis, treatment, prognosis, or cure of any physical or mental health condition.

Before using any part of the Service (digital or phygital gym):

• Consult a qualified healthcare professional, especially if you have conditions such as pregnancy, epilepsy, heart conditions, severe mental health issues, mobility limitations, or are in crisis.
• In emergencies (suicidal thoughts, self-harm, acute physical distress), contact local emergency services immediately.

The Service is primarily in English. Data (including mind-n gym visit logs, biometric readings (in future), session participation) is stored and processed on secure servers, which may be located outside India, in accordance with our Privacy Policy.

What Is the mind-n Service?

The mind-n Service provides evidence-based digital tools, coaching, assessments, productivity modules, and phygital gym experiences to support mental well-being and productivity in a self-help context.

Phygital Gym Services include:

• Access to mind-n gym facilities
• Integration with wearables and biometric devices(future)
• In-person guided sessions combined with AR/VR/digital feedback
• Hybrid wellness programs blending mind-n gym activity with digital tracking and coaching

The Service is not intended for crisis intervention, diagnosis, treatment of severe mental/physical conditions, or medical emergencies.

Who Can Use This Service?

You must be 18+ years old (or older if required by applicable law or your organization) and of sound mind.

The Service is primarily offered to Organizations (corporates, educational institutions, healthcare providers, etc.) for provision to their employees, members, students, or patients (“Organizational Users”).

Individual access may be granted directly or through an organization’s Employee Assistance Program (EAP), HR system, or membership. Organizational terms, policies, and codes of conduct may apply in addition to these Terms. In case of conflict, the organization’s specific agreement with mind-n shall prevail for Organizational Users.

We reserve the right to refuse or terminate access if eligibility requirements are not met.

mind-n License

Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service (including phygital gym facilities and related digital interfaces) for personal, non-commercial purposes only. All rights not expressly granted are reserved.

About mind-n Accounts

Access may require an account created via your organization’s EAP/HR portal, membership code, or direct registration. You must provide accurate information and are fully responsible for account security and all activity under your account. Notify us immediately of any unauthorized access.

Usage and Service Rules

Use the Service (digital and phygital) lawfully, safely, and as intended. Prohibited conduct includes damaging equipment, unsafe mind-n gym behavior, automation abuse, scraping, interference, commercial misuse, or violation of facility rules.

We may suspend/terminate access without notice for violations, safety concerns, or at our discretion.

About User Content

User Content includes chat inputs, feedback, biometric data, gym session notes, photos/videos (if permitted), etc. You warrant that your content is lawful, accurate, and non-infringing. We may remove violating content.

Use of User Content

We may anonymize and use data (including gym/biometric data) for research, analytics, product improvement, and aggregated organizational reporting (with your consent where required).

About Mobile Software & Phygital Gym Integration

We grant a limited license for the mobile/web app. mind-n Gym facilities may require app-based check-in, wearable pairing, or digital interfaces — the same license and restrictions apply. Comply with all gym safety rules and equipment usage guidelines.

No Professional Medical Advice

THE SERVICE (INCLUDING PHYGITAL GYM COMPONENTS) IS NOT MEDICAL, THERAPEUTIC, OR REHABILITATIVE TREATMENT. IT DOES NOT DIAGNOSE, TREAT, MANAGE, OR CURE ANY CONDITION. ALWAYS CONSULT QUALIFIED HEALTHCARE PROFESSIONALS BEFORE STARTING ANY PHYSICAL OR WELLNESS ACTIVITY. WE ARE NOT LIABLE FOR ANY RELIANCE ON THE SERVICE.

Our Intellectual Property Rights

All content, software, branding, gym program designs, and materials are owned by or licensed to mind-n. Unauthorized use, reproduction, or distribution is prohibited.

Privacy, Data Protection, Security, Third-Party Links and Monitoring

Your use is subject to our Privacy Policy (www.mindn.ai/privacypolicy), which is incorporated into this Agreement.

We align with:

• Digital Personal Data Protection Act, 2023 & Rules, 2025 (DPDPA)
• GDPR (for EU data subjects)
• HIPAA (for applicable US protected health information)
• ISO 27001 information security standards

Phygital gym data (biometrics, visit logs, session participation) is processed with the same protections. We implement reasonable safeguards; absolute security cannot be guaranteed.

We may monitor usage for compliance, safety, and service improvement. Third-party links are used at your own risk.

Payments and Cancellations

Access is typically provided by your organization. Where direct payment applies (e.g., premium individual features), payments are handled by third-party processors. All payments are non-refundable except as required by law. Organizations manage bulk subscriptions/cancellations. Contact help@mindn.ai for queries.

Indemnity

You indemnify mind-n against claims arising from your use of the Service (including phygital gym facilities), violations of these Terms, or any injury/damage resulting from misuse.

Warranty & Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIABILITY IS DISCLAIMED AND CAPPED AT THE AMOUNT PAID IN THE LAST 12 MONTHS OR ₹10,000, WHICHEVER IS GREATER.

Governing Law and Dispute Resolution

Governed by the laws of India. Exclusive jurisdiction lies with courts in Bengaluru, Karnataka.

Changes to Terms

We may update these Terms with notice. Continued use (including gym access) constitutes acceptance.

Entire Agreement
This Agreement is complete, severable, and binding. No waiver unless in writing.

By accessing or using the mind-n Service (digital or phygital gym), you accept these Terms.

This version incorporates the phygital gym offering primarily to organizations as of December 31, 2025. For organization-specific agreements or legal advice, consult your employer or a qualified lawyer.
